Overview

Scott Rosenthal represents real estate private equity firms, institutional investors, developers, real estate management companies, and other property owners with the acquisition, disposition, financing, and leasing of apartment buildings, office and industrial buildings, healthcare facilities, and mixed-use properties. Scott also counsels clients on affordable housing projects that use Low Income Housing Tax Credits, tax-exempt bond financing, state and local funding, and equity investment, and has experience in the renewable energy industry representing developers in connection with solar and wind projects. Scott has represented a wide variety of tenants and landlords in office, retail, and industrial leasing transactions, including ground leasing and sale-leaseback transactions.

Scott’s range in real estate law spans a variety of key areas, from negotiating construction loans to managing sales of affordable housing portfolios. He has handled large-scale deals, including a $555 million business sale and significant property acquisitions and dispositions across a variety of asset classes. His work includes ensuring thorough due diligence in real estate transactions and managing complex deals through closing.

Prior to joining Stoel Rives, Scott practiced real estate law in New York City. Before law school, Scott was a policy aide to U.S. Senator Jeff Merkley (D-OR).

  • Represented a large nonprofit hospital system in connection with the sale of a ground lease interest in a multitenant medical office building in Oregon and the related restructuring of the underlying ground lease.
  • Part of a team representing a developer on the negotiation of a construction loan and joint venture agreement for a new ground-up multifamily development in Sacramento, Calif.
  • Represented a developer in the sale of a portfolio of affordable housing properties across Texas, including with respect to the defeasance of the projects’ existing bond financing.
  • Represented an international institutional investor and developer with its first acquisition in Oregon.
  • Represented a private timber company in the purchase and financing of a large commercial tree farm in the Northwest.
  • Represent a Northwest based developer with the acquisition and financing of affordable housing projects across the Western U.S.
  • Represent a major tech company in the development of data center facilities in Oregon, including tackling complex issues related to the site’s development and operation.
  • Part of team representing a public transportation agency with respect to a construction agreement and easement for the development of a 70-floor commercial office building.
  • Represented the seller in a $555 million sale of a paving business, including related sand and gravel operations.
  • Part of a team that negotiates wind farm leases (and conducts real estate due diligence) on behalf of an international renewable energy company for wind energy projects across the United States.
  • Conduct and supervise extensive due diligence review of retail, office, and industrial leases, title reports and surveys.
  • Coordinate real estate deliverables in secured financings, including mortgages, title insurance, surveys, and legal opinions.
