ExperienceMichael O'Connell is a partner of the firm practicing in the Environment, Land Use and Natural Resources practice group. He focuses his practice on natural resources, environmental, energy, water rights and Indian law matters involving project development. For more than 30 years, Michael has assisted a broad range of clients throughout the West, including public ports, energy producers (wave and tidal hydrokinetic and conventional hydropower, wind and ethanol producers; oil and gas developers; and pipeline owners), forest product producers, food processing companies, shopping center and golf course developers, general contractors, and industrial, manufacturing, commercial and other private and public clients. He also works with Indian tribes and parties engaged in business or other transactions with Indian tribes.
Michael counsels clients through federal, state and tribal environmental review, project siting and permitting matters involving the National Environmental Policy Act, Endangered Species Act, Clean Water Act (stormwater, wastewater and wetlands permits, citizen suits and water quality certifications), coastal zone management, National Historic Preservation Act compliance regarding cultural resources and historic properties (including traditional cultural properties), human remains, fossils, and water right acquisitions and transfers. In these areas, Michael also assists clients in transactional due diligence, regulatory compliance and litigation.
In Indian law matters, Michael assists clients on projects (on and outside of Indian reservations) that affect tribal interests, including financial transactions, leases and rights of ways over tribal land, taxation and employment issues, negotiation of waivers of tribal sovereign immunity and litigation. He also regularly speaks at seminars on environmental, natural resources and Indian law.
Representative Work
- Represented utility in Washington Supreme Court in successful defense of utility commission action allowing rate recovery of costs of tax imposed by the Yakama Indian Nation, Willman v. WUTC.
- Advise wave energy developer on permitting issues for project on Oregon coast, including Federal Energy Regulatory Commission licensing and historic property consultation issues.
- Advised tidal energy client in New York on permitting issues.
- Counseled client in negotiating lease of tribal land, and assisted in obtaining federal legislation confirming tribe's authority to lease fee land.
- Counseled client in negotiating lease of tribal land for shopping center.
- Advised clients in settlements of Clean Water Act citizen suit notices without filing of threatened federal court suits.
- Assisted client acquiring forestry mill with water rights due diligence and negotiation of escrow to protect client's water supply rights.
- Assisted data center owner located in desert area in acquiring water rights necessary to cool servers.
- Assisted land purchaser in resolving dispute with seller over ownership of water rights.
- Negotiated settlement agreement for client with Indian tribes and federal and state agencies for voluntary removal of dam licensed by FERC.
- Resolved historic property and cultural resources issues necessary for Corps of Engineers permits issued to wind and biofuel energy clients.
- Counseled utility clients in negotiation of rights of way with Indian tribes.
- Counseled client developing gas-fired, off-reservation energy facility in resolving tribal water rights claims.
- Advised general contractor in negotiating a construction contract with an Indian tribe for casino and resort complex.
- Obtained dismissal of tribal court employment suit against general contractor.

ExperienceMichael O'Connell's Native American Business practice focuses on energy, environmental permitting and transactional issues for major projects on and outside Indian reservations and Alaska Native Corporation lands. He advises clients negotiating leases, easements and other agreements relating to use of tribal and Alaska Native Corporation lands; due diligence for business transactions with Indian tribes and tribal business entities; Indian water rights; tribal taxation and employment issues; cultural resource protection; fossils on Indian land; and waivers of tribal sovereign immunity and arbitration agreements.
In energy and environmental matters, Michael advises clients on National Environmental Policy Act, Endangered Species Act and National Historic Preservation Act compliance; wetlands, stormwater and wastewater permits; water quality certifications; water rights; and litigation involving tribal issues before federal, state and tribal courts and administrative agencies. In 2012, Michael assisted an Alaska Native Corporation client to obtain an order from the Alaska federal district court preliminarily enjoining tribal court proceedings against our client. In 2011, Michael negotiated a favorable outcome for a client in a Montana tribal court construction dispute. In 2005, the Washington Supreme Court upheld action by the Washington Utilities & Transportation Commission allowing PacifiCorp to recover in rates costs of a tax by the Yakama Nation. Michael argued that case for PacifiCorp.

Michael has assisted wind, solar, geothermal, biomass, ethanol, hydrokinetic and conventional hydropower, gas-fired generation, and electric transmission and gas pipeline clients. Michael has assisted these energy clients in federal, state and tribal processes for licensing, siting and development of energy and power projects, including NEPA, endangered species, essential fish habitat and historic properties consultations, 401 water quality certifications, wetlands, wastewater and stormwater permitting, coastal zone management consistency.
Michael's energy law practice draws upon more than 34 years of experience in Native American law to assist clients developing energy and other projects on and outside Indian reservations and Alaska Native Corporation lands, including new and renewed leases, rights of way and other real estate transactions, treaty and executive order fishing right and ceded lands issues, cultural resources (historic properties, traditional cultural properties, human remains), taxation, employment agreements, negotiating waivers of tribal sovereign immunity, litigation and settlements. Print to wordExperienceMichael's water law practice focuses on the water supply needs of industrial, commercial, food products, forestry and agricultural clients. Michael's experience includes purchases, sales and leases of water rights; temporary and emergency water right permits; reclaimed and reuse water supply agreements; water use mitigation agreements; and water rights due diligence for business transactions, including permits and easements for water diversion and transportation facilities. Michael advises clients in connection with agency actions necessary to secure new water rights and changes or transfers of existing water rights, water rights use and transfers exempt from agency approvals, real estate excise tax treatment of water rights transactions, climate change and the Endangered Species Act impacts on water use, and preservation of water rights potentially subject to loss through abandonment or relinquishment.
Michael's advice also include matters relating to contracts for Bureau of Reclamation project water, valuation of water rights, Bankruptcy Act impacts on executory water supply contracts, and tribal and federal reserved water rights, including potential impacts on users of other water rights. When project development potentially impacts jurisdictional waters under the Clean Water Act, Michael assists clients in evaluating state water quality certifications and conditions under the Clean Water Act section 401 and project alternatives that may avoid or minimize wetlands impacts, and works with clients regarding options for permitting, mitigation and environmental review processes required under federal and state laws.
Michael is Adjunct Professor of Water Law at Seattle University School of Law. Before joining the firm, Michael was General Counsel to the Hopi Tribe and served in the Office of Reservation Attorney for the Quinault Indian Nation and Confederated Tribes of the Colville Reservation.
