Our lawyers provide advice in structuring and documenting individual and form loan transactions for many types of loans, including agricultural, commercial real estate development, consumer, commercial business and term loans. We act as trustee for many institutions for residential trust deeds. We also assist in preparing letters of credit and participations among two or more lenders and in preparing, reviewing and interpreting trust indentures for large financing transactions.
Collections, Foreclosures and Litigation
Our firm represents financial institutions in collection, foreclosures and other litigation matters and in resolving financially troubled loans.
Establishment and Regulation
The establishment and operation of banks, bank holding companies and savings and loan associations, finance companies, credit card and service companies are subject to extensive federal and state regulation and hearings. These regulations govern capital requirements, director and managerial capability, location and permissible activities. The firm has extensive experience in all of these areas.
Trust Business
We counsel banks regarding separation of trust department business from commercial banking. We provide business counseling and prepare and review trust agreements, master retirement plans and prototype corporate pension plans. We also advise regarding trustee duties and functions in cases of individually tailored retirement plans.
Escrow Safekeeping
The firm advises clients in connection with bank operations, such as preparing escrow instructions in complicated or unusual cases and advising with respect to rights of access to property in cases of death, disputes and claims by creditors.
